Build to Rent

Complex Partners was engaged to assist with the acquisition of 7 development sites in Austin, Houston and San Antonio, Texas to expand the Build to Rent platform for an international homebuilder. Engagement included due diligence, title review, product selection, development review and restrictive covenant negotiation. Ongoing engagement providing development support, analysis and business consulting across the portfolio.

High Value Marital Divorce

Engaged as the client agent for all consulting work for document intensive divorce and division of assets. Worked directly with client and attorneys to analyze the marital assets, formulate strategy and interpret between client and counsel. Assets included 20 entities, 11 apartment communities in 3 states with $120m AUM. Client successfully received 50% of LP interests paid within 1 year of divorce and retained 40% of GP interests allowing the client to retain carried interests, capture all future value at capital gains tax rates and all without having to use a discounted cash flow model. Also successfully obtained award of a Special Master to protect client’s interests and provide fairness and visibility until the last partnership is wound up in +10 years.

Construction Industrial Buildings

Project manage the permitting and construction of 2 industrial buildings totaling 156,000 sf, as the Owner’s representative. The site is in a complex, infill location in Denver, Colorado with overhead electric distribution lines and the requirement to remove and replace existing public infrastructure that includes water and sewer lines to increase capacity for the project and adjacent parcels.

$29m District Bond Issuance

Complex Partners lead the formation of a Title 32 Metropolitan District and a Business Improvement District in Weld County, Colorado to support the Public Private Partnership (PPP) infrastructure needs for a +100 acre mixed-use development. The engagement culminated in the successful issuance and sale of $29m in tax exempt bonds.

Sports Park Acquisition

Complex Partners was engaged by a client to assist with the acquisition of a sports park in Central Florida that was originally built as an MLB Spring Training Facility, including a 4,000 seat stadium. We provided underwriting, financial modeling, Purchase Agreement negotiation, due diligence, document review, title review, development and expansion planning.

Corporate Tax Structuring

A landowner client was beginning the development process on a large parcel of land that was acquired years earlier in a held for investment entity. Seeing a tax problem rising, we raised the issue with the client and worked with their accountant to properly structure the various entities needed to maintain long term capital gains treatment and not taint the entire site with dealer status.

Contempt Action Consulting Expert

Complex Partners was retained as a consulting expert in a domestic relations case for a contempt action against the opposing party. The engagement included identifying non-compliance, providing trial, exhibit and witness preparation. Sat with counsel at plaintiff table during trial.

SEC Whistleblower Action

Complex Partners was engaged by an individual investor who believed they were a victim of theft, securities fraud and self dealing by a real estate sponsor/promoter. The investment was in a real estate partnership and was made through a Private Placement Memorandum, Subscription Agreement and Operating Agreement. Along with ultimately submitting a Whistleblower Claim with the Securities and Exchange Commission, the engagement included an analysis of the investment and production of the submission package.

Lot Entitlement and Construction

Complex Partners was engaged to lead the entitlement, design, product selection and development of a 278 lot Build to Rent community in Texas. Project manage the civil design, permitting, Planning Commission and City Council approvals and put grading and construction packages out for public bid.

Wastewater Treatment Project

The District client needed to provide a temporary package wastewater treatment plant (WWTP) on-site to accommodate users and taxpayers within the development. Complex Partners was responsible for coordinating the design and bid process for the District. We worked with the design engineers and District counsel.
